Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the AllianceOracle platform, operated by Aurelian Ventures Ltd. ("AllianceOracle," "we," "us," or "our"). By accessing or using the platform you agree to be bound by these Terms.

1. Platform Description

AllianceOracle is a technology platform that facilitates the discovery, verification, and licensing of subsurface geological data between operators ("Sellers") and developers ("Buyers"). AllianceOracle acts solely as a technology intermediary. We are not a broker, dealer, investment advisor, commodity trading advisor, or financial institution of any kind.

AllianceOracle Intelligence Scores and commodity data provided through the platform are for informational purposes only and do not constitute investment, trading, or financial advice.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or your organisation. The platform is intended for use by qualified business entities in the energy, critical minerals, geothermal, and carbon storage sectors.

3. Seller Obligations

Sellers who submit data metadata to the platform represent and warrant that:

They hold full legal ownership or the right to license the data described;
The metadata submitted is accurate and complete to the best of their knowledge;
No raw, proprietary, or confidential data files are transmitted to AllianceOracle during the verification process;
They have the authority to approve licensing transactions to qualified buyers.

Sellers retain full custody of all raw data files at all times. AllianceOracle does not take possession of, store, or transmit raw geological data.

4. Buyer Obligations

Buyers acknowledge and agree that:

AllianceOracle's verification score (0–100) reflects metadata quality across six defined dimensions and is not a guarantee of data fitness for any particular purpose;
Buyers are solely responsible for evaluating whether licensed data meets their technical and commercial requirements;
Licensed data is provided for internal use only and may not be sublicensed, resold, or redistributed without the written consent of the originating Seller;
Access to data is granted only upon full settlement of the applicable licensing fee.

5. Platform Fee

AllianceOracle charges a platform fee of four percent (4%) of the gross value of each completed data licensing transaction, payable by the Buyer at the time of settlement. All fees are denominated and settled in fiat currency (USD or CAD). No cryptocurrency, tokens, or digital assets are accepted or issued.

6. Intelligence Scores & Commodity Data

AO Intelligence Scores combine price signal data derived from publicly available sources with geological context from AllianceOracle's operator archive network. These scores are:

For informational and research purposes only;
Not a recommendation to buy, sell, or hold any commodity, security, or financial instrument;
Not produced by a registered investment adviser, commodity trading adviser, or regulated financial professional;
Subject to change without notice as market and geological conditions evolve.

AllianceOracle is not liable for any decisions made on the basis of intelligence scores or commodity data published on the platform.

7. Intellectual Property

The AllianceOracle platform, including its scoring methodology, software, design, and brand assets, is the intellectual property of Aurelian Ventures Ltd. and is protected by applicable copyright and trade secret laws. Users may not copy, reverse-engineer, or reproduce any part of the platform without prior written consent.

Geological data licensed through the platform remains the intellectual property of the originating Seller. AllianceOracle acquires no ownership rights over any data transacted through the platform.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AllianceOracle and Aurelian Ventures Ltd. shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages;
Loss of revenue, profit, data, or goodwill arising from use of the platform;
Inaccuracies in geological data or metadata submitted by Sellers;
Decisions made on the basis of AO Intelligence Scores or commodity data.

Our total aggregate liability to any user shall not exceed the platform fees paid by that user in the twelve months preceding the claim.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.

10. Modifications

We may update these Terms from time to time. Continued use of the platform following notice of changes constitutes your acceptance of the revised Terms. Material changes will be communicated to registered users by email.
